Terms and Conditions

Expenses 

Travel time and pass-through costs and expenses are passed onto the Client. Where the use of a private car is required, the cost will be 55p/mile. Air tickets will be purchased on the most economical, fully flexible fare consistent with the timing and duration of the flight. Intercontinental flights will normally be in business class. Where a flexible fare is not available or if the Client requests that The Knowlogy staff use restricted fares then the Client is responsible for all additional costs caused by delays, cancellations or any other reason. Flights on point to point carriers may be subject to supplement where this involves extended check in or transfer time. Flexible rail tickets will be purchased in business class. 

Invoices

Invoices will be issued in accordance with the timetable above. The invoices will detail the professional fees and expenses incurred. Invoices submitted by The Knowlogy to the Client are due within thirty (30) calendar days of receipt. If the Client has any valid reason for disputing any part of the invoice supplied by The Knowlogy, they will notify The Knowlogy within fourteen (14) calendar days of receipt, and if no such notification is given the invoice will be deemed valid. The portion of the invoice which is not in dispute will be paid in accordance with the clause set forth herein. 

The Knowlogy will exercise its right to claim interest and compensation for debt recovery costs if payment of an undisputed amount is not received by the due date. Interest will be charged on undisputed invoiced amounts not received by the due date at the statutory level set out in the Late Payment of Commercial Debt (Interest) Act 1998 (as amended). 

The Payment as stated in this Agreement does not include Value Added Tax. Any Value Added Tax will be charged to the Client. 

Liability

The Knowlogy Group Ltd will maintain the insurance cover required by the Employees Liability (Compulsory Insurance) Regulations of 1998 and subsequently amended. Otherwise, The Knowlogy Group Ltd liability is limited to the cost of materials directly involved in the activities carried out by The Knowlogy Group Ltd as defined in the scope of this agreement. 

Access and availability 

The Client is responsible for ensuring that The Knowlogy Group Ltd has access to facilities, personnel, materials, documents, records and other items required for the timely conduct of the work. Any additional costs caused by delays or non-availability of access to all materials, except for materials provided by The Knowlogy Group Ltd, will be the Client’s responsibility.  

Cancellation 

Cancellation at anytime will result in any initial payment and all expenses necessarily incurred at the time of cancellation being charged. Cancellation after acceptance of this Agreement but more than 14 days before the commencement will result in 50% of the contract price being charged. Cancellation less than 14 days before commencement will result in the full contract price being charged. These charges may be reduced or waived if The Knowlogy Group Ltd is able to attract suitable replacement work.  

Non disclosure of confidential information 

Confidential information (the “Confidential Information”) refers to any data or information relating to the business of the Client which would reasonably be considered to be proprietary to the Client including, but not limited to, accounting records, business processes, and client records and that is not generally known in the industry of the Client and where the release of that Confidential Information could reasonably be expected to cause harm to the Client. 

The Knowlogy Group Ltd agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which The Knowlogy Group Ltd has obtained, except as authorised by the Client or as required by law. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement. 

All written and oral information and material disclosed or provided by the Client to The Knowlogy Group Ltd under this Agreement is Confidential Information regardless of whether it was provided before or after the date of this Agreement or how it was provided to the Company.
